1 Agreement and Acceptance

Your use of the website or completion of a purchase is your acceptance of these Terms. We may update these Terms at any time by posting a revised version on the website. Continued use after a change is posted constitutes acceptance of the revised Terms. The “Last updated” date above shows the current version.

2 Eligibility and Age

You must be at least 21 years of age to access the website, create an account, or purchase products. By using the website you represent that you are 21 or older. We may request proof of age. If you cannot or will not provide it, we may cancel orders and close the account.

You also represent that you are a qualified researcher, meaning you are affiliated with a laboratory, research institution, university, or other research facility, or you otherwise have the scientific training, equipment, and facilities needed to handle research chemicals lawfully and safely.

3 Research Use Only

All products sold by Certified Pep Lab are intended solely for in-vitro laboratory research and analytical use by qualified professionals.

Certified Pep Lab is a laboratory chemical supplier. We are not a compounding pharmacy or chemical compounding facility under Section 503A of the Federal Food, Drug, and Cosmetic Act, and we are not an outsourcing facility under Section 503B of that Act. We do not compound prescription drugs, dispense medications, write or fill prescriptions, or market products for therapeutic or diagnostic use.

You assume full responsibility for compliance with all applicable federal, state, local, and institutional rules governing purchase, possession, storage, handling, and use of research materials, including any applicable inventory or notification requirements.

4 Customer Representations

By placing an order you represent and warrant that:

• You are at least 21 years old.
• You are a qualified researcher as defined above.
• You understand the hazards of laboratory chemicals and have the knowledge, training, equipment, and facilities to handle them safely.
• You will use products only for lawful in-vitro laboratory research.
• You will not use products for human or animal administration, compounding, clinical use, performance enhancement, aesthetic use, agricultural use, or consumer use.
• Information you provide (identity, age, affiliation, shipping address, and intended research use) is true and complete.

5 Prohibited Uses and Zero-Tolerance Policy

The following are strictly prohibited. Violation may result in order cancellation, permanent account ban, and referral to authorities where appropriate:

Any communication that indicates you intend to use products other than for laboratory research may result in a refusal to sell and a permanent ban. We do not provide use, dosing, or administration guidelines. A request for that information may be treated as evidence that you are not a qualified researcher and may result in cancellation or account termination.

6 Accounts

If you create an account, you must provide accurate information and keep it current. You are responsible for all activity under your credentials. Notify us immediately of unauthorized use. We may suspend or terminate accounts for fraud, misuse, chargebacks filed in violation of these Terms, or any other breach.

7 Orders, Pricing, and Payment

Prices are in U.S. dollars, exclude tax and shipping unless stated otherwise, and may change without notice. Listing a product is an invitation to deal, not a binding offer. Your order is an offer to purchase. A contract is formed only when we accept the order by processing payment and shipping, or by sending written confirmation.

We may decline or cancel any order for any reason, including stock, suspected fraud, prohibited-use indicators, address risk, or failed verification. If we cancel after payment, our sole obligation is to refund the amount paid for the cancelled items.

You must provide complete and accurate billing and shipping information. You are responsible for applicable taxes. Accepted payment methods are those displayed at checkout and may include major credit and debit cards and other methods we enable from time to time.

Title and risk of loss pass to you when FedEx takes possession of the shipment, except where law requires otherwise.

8 Shipping

Shipping is governed by our Shipping & Returns Policy. In summary: we ship via FedEx only to street addresses in the United States (including states and U.S. territories). We do not ship to P.O. Boxes. Standard FedEx shipping is free on orders of $99.00 or more (merchandise subtotal before tax). Orders under $99.00 ship at a flat $9.99 standard FedEx rate. Faster FedEx services may be available at checkout for an additional charge.

You are responsible for a complete and accurate street address. We are not liable for delivery to an address you entered incorrectly.

9 Cancellations, Returns, and Refunds

Because these materials are temperature- and chain-of-custody sensitive, all sales are final once a product has shipped, except as stated in the Shipping & Returns Policy.

You may request cancellation only before the order has been processed for shipping. Once a FedEx tracking number exists, the order cannot be cancelled.

If a product arrives damaged or is the wrong item, notify us within 72 hours of delivery with your order number and clear photographs. Verified damaged or incorrect items will be replaced at no additional cost. We do not accept returns for change of mind, unused product, or buyer’s remorse. Cash refunds in place of replacement are issued only if we cannot replace the item or if law requires a refund.

10 Chargebacks and Disputes

If you have a problem with an order, an unrecognized charge, a missing or damaged shipment, or a product that does not match its documentation, contact Certified Pep Lab before opening a dispute with your bank or card issuer. We respond within one business day on business days and resolve legitimate issues under these Terms and the Shipping & Returns Policy.

Unauthorized or fraudulent charges are investigated promptly; confirmed fraud is refunded in full. Chargebacks filed without first contacting us are contested with order records, delivery confirmation, and the acknowledgments made at checkout. Filing a chargeback on a delivered, as-described order is a material breach and may result in account closure and collection of amounts due, including reasonable costs of contesting the chargeback.

11 Website Use and Intellectual Property

The website, including text, design, logos, product names, photographs, data sheets, and other content, is owned by Certified Pep Lab or its licensors and is protected by intellectual property laws. You may view and print content for your own internal research reference. You may not copy, scrape, republish, or commercially reuse website content without our written consent.

“Certified Pep Lab” and related marks are trademarks of Certified Pep Lab. Listing a product does not grant any patent or other license. You may not reverse engineer products or use our marks or documentation to market competing goods.

The website is provided “as is” and “as available.” We do not warrant that it will be uninterrupted, secure, or error-free. We may change prices, product listings, and site availability without notice.

12 Product Disclaimer and No Results Guarantee

Except as expressly stated in these Terms or required by law, products are provided “AS IS,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant experimental outcomes, suitability for any specific protocol, or results in your laboratory. Certificates of analysis and similar documents describe tested specifications for the lot; they are not a guarantee of performance in your application.

You are solely responsible for independently confirming identity, purity, and suitability before use in any experiment.

13 Limitation of Liability

To the fullest extent permitted by law, Certified Pep Lab and its owners, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising from the website, these Terms, or the purchase, handling, storage, or use of products, even if advised of the possibility of such damages.

Our total liability for any claim relating to a product or order will not exceed the amount you paid for the specific product giving rise to the claim. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.

14 Indemnification

You agree to indemnify, defend, and hold harmless Certified Pep Lab and its owners, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of: your use of the website; your purchase, handling, storage, transfer, or use of products; any non-research or unlawful use; your violation of these Terms or of law; or your misrepresentation of age, identity, qualifications, or intended use.

15 Third-Party Sites

The website may link to third-party sites. Those sites are not under our control. Access is at your own risk.

16 Governing Law

These Terms are governed by the laws of the state in which Certified Pep Lab maintains its principal place of business, without regard to conflict-of-law rules, and by applicable United States federal law.

17 Dispute Resolution

Before filing any formal claim, you agree to contact us and allow 30 days to try to resolve the dispute informally.

To the fullest extent permitted by law, any dispute arising out of these Terms, the website, or any product purchase will be resolved by binding individual arbitration, not in court, except that either party may bring an individual action in small-claims court. You and Certified Pep Lab waive any right to a jury trial and any right to participate in a class, collective, or representative action. If this class-action waiver is found unenforceable as to a particular claim, that claim must proceed in court and not in arbitration.

18 Severability and Entire Agreement

If any provision of these Terms is held unenforceable, it will be modified to the minimum extent needed to make it enforceable, or severed, and the rest of the Terms will remain in effect.

These Terms, together with the Shipping & Returns Policy and Privacy Policy, are the entire agreement between you and Certified Pep Lab regarding the website and product purchases. They supersede prior discussions on the same subject. Our failure to enforce a provision is not a waiver.
